The Antigua and Barbuda Intellectual Property and Commerce Office extends heart felt sympathies to the passing of the Calypsonian and cultural icon The Mighty Sparrow.

𝐂𝐚𝐥𝐲𝐩𝐬𝐨 𝐒𝐭𝐚𝐥𝐰𝐚𝐫𝐭, 𝐓𝐡𝐞 𝐌𝐢𝐠𝐡𝐭𝐲 𝐒𝐩𝐚𝐫𝐫𝐨𝐰 𝐃𝐢𝐞𝐬 𝐚𝐭 91

TTT News out of Trinidad & Tobago is reporting  legendary calypso icon, Slinger Francisco, popularly known as “The Mighty Sparrow,” has died at the age of 91.

He was resident in New York at the time of his passing.   The Mighty Sparrow was adored by generations of fans, renowned for hits including “Saltfish”, “Jean and Dinah”, and “Melda”.

He won the Road March title in Trinidad & Tobago eight times and was awarded the Order of the Caribbean Community (OCC) in 2001.

Company Compliance Reminder 🔔

REGISTERED OFFICE OF A COMPANY

🔹Every company must always have a registered office in Antigua and Barbuda.

🔹The company’s directors can change the address of the registered office.

🔹When a company is being incorporated, the incorporators must provide the registered office address to the Registrar using the required form.

🔹If the company changes its registered office address, it must notify the Registrar within 15 days using the required form.

Company Compliance Reminder 🔔

TRUST NOTICES (PART 1)

• A company generally does not have to record or accept information about a trust involving its shares or debentures in its company records or registers.

• The Registrar is also not required to accept or record notice of a trust, except where the law specifically provides otherwise.

• Actions taken under subsection (3), (4) or (5) of Section 186 do not change or affect any legal responsibilities or liabilities of the persons involved.

• The company concerned is not affected with notice of any trust by reason of anything so done.

• If a person who was registered as a shareholder or debenture holder dies, their personal representative may have themselves registered as the holder of those shares or debentures on behalf of the deceased person's estate.

TRUST NOTICES (PART 2)

• If a person who was entitled to shares or debentures in a company dies, their personal representative may have those shares or debentures registered in their name on behalf of the deceased person’s estate.

• This can only happen if the company and the person currently registered as the shareholder or debenture holder both agree.

• Once registered, the personal representative has the same legal responsibilities and liabilities relating to those shares or debentures that the deceased person would have had.

• The personal representative cannot be given any additional liabilities simply because the shares or debentures have been transferred into their name.

Company Compliance Reminder 🔔

COMPANY REGISTERS AND RECORDS

Companies are required to maintain company records at their registered office and ensure that these records are kept up to date.

The records should include:
🔹The company’s Articles and By-laws, including any changes made to them and a copy of any unanimous shareholder agreement and it’s amendments
🔹Minutes of shareholder meetings and shareholder resolutions

Notices relating to the company’s directors, including:
🔸The names of the company’s directors. (Section 69 of the Companies Act 1995)
🔸Any changes to the company’s directors. (Section 77 of the Companies Act 1995)
🔸The company’s registered office address and any changes made to that address. (Section 176 of the Companies Act 1995)

🔹Up-to-date information on the company’s beneficial owners — the individuals who ultimately own or control the company.

Company Compliance Reminder 🔔

REGISTER OF BENEFICIAL OWNERSHIP

Companies must keep an up-to-date Register of Beneficial Ownership showing the individuals who ultimately own or control the company.

The register must include:
🔹The name and address of each person who is a beneficial owner.
🔹The names and addresses of individuals who jointly qualify as beneficial owners with other individuals or legal entities.
🔹The number of shares owned by each beneficial owner, whether held directly or through a nominee.
🔹Where a nominee holds the shares, the nominee’s name and address, as well as the latest known address of the person who nominated them and the individual who ultimately owns the shares.
