Dear Friends,
Please mark your calendar and join us on Monday, August 31, 2026, for the 5th Annual Kemp Klein Charity Golf Classic. This year’s event will take place at the beautiful Fieldstone Golf Club in Auburn Hills, Michigan. All proceeds will benefit the Capuchin Soup Kitchen, a charity that since 1929 has been committed to feeding bodies, nourishing spirits, and strengthening Metro Detroit. For almost a century the breadth of the Capuchin’s work — from daily meal services and the Capuchin Services Center to Earthworks Urban Farm, youth programming, and recovery support – has been a blessing to families and communities throughout the region. At a time when many families are struggling to choose between food, fuel and rent, the importance of their work can’t be overstated. You will be updated with information on registration, sponsorships, donations, and volunteering in the coming weeks. Yes, of course there will be breakfast, lunch at the turn and a steak dinner at the end of the round. Dear Friends, Colleagues and those seeking a day off for a good cause,

Following the successes of our past charity golf outings, The Kemp Klein Foundation will host its 4th Annual Charity Golf Outing at the beautiful Links of Novi Singh Golf Course in Novi, Michigan, on September 8, 2025. Proceeds will benefit First Tee - Greater Detroit, a youth development organization that enables kids to build the strength of character that empowers them through a lifetime of new challenges.

Registration for both golf and sponsorships is now open, and you can find information at https://kkue.com/golf2025/ regarding ticket sales and sponsorships for this event. Tickets will include a round of golf (scramble format – so include a ringer in your foursome) with a cart, gift bag, breakfast, lunch at the turn, drink tickets and a steak dinner after the round. It was an honor and a privilege to be recognized alongside distinguished honorees such as the Honorable Paul Borman, U.S. District Court Judge for the Eastern District of Michigan (who joined the State Bar the year before I was born), and Michigan Court of Appeals Judge Christopher Yates. Building on our successes of the last three years, The Kemp Klein Foundation will host its 4th Annual Charity Golf Outing at the beautiful Links of Novi Singh Golf Course in Novi, Michigan on Monday, September 8, 2025. Proceeds will benefit this year’s charity First Tee - Greater Detroit. Founded nationally in 1997, First Tee’s mission is “to impact the lives of young people by providing educational programs that build character, instill life-enhancing values and promote healthy choices through the game of golf.” Through programming delivered at golf courses, elementary schools, and local youth centers, First Tee teaches participants valuable life skills including problem-solving, time management, teamwork, self-control, conflict resolution and improving relationships within family and community.

In an interesting turn of events, the Fifth Circuit Federal US Court of Appeals has vacated the stay against the Corporate Transparency Act injunction and reinstated the injunction. No filings are required at this time. I'll keep everyone updated as this continues to develop.

Well, just when you thought that you didn't have to worry about the Corporate Transparency Act, here's a message from your friends at FinCEN:

In light of a December 23, 2024, federal Court of Appeals decision, reporting companies, except as indicated below, are once again required to file beneficial ownership information with FinCEN.

However, because the Department of the Treasury recognizes that reporting companies may need additional time to comply given the period when the preliminary injunction had been in effect, we have extended the reporting deadline as follows:

Reporting companies that were created or registered prior to January 1, 2024 have until January 13, 2025 to file their initial beneficial ownership information reports with FinCEN. (These companies would otherwise have been required to report by January 1, 2025.)
Reporting companies created or registered in the United States on or after September 4, 2024 that had a filing deadline between December 3, 2024 and December 23, 2024 have until January 13, 2025 to file their initial beneficial ownership information reports with FinCEN.

Reporting companies created or registered in the United States on or after December 3, 2024 and on or before December 23, 2024 have an additional 21 days from their original filing deadline to file their initial beneficial ownership information reports with FinCEN.

Reporting companies that qualify for disaster relief may have extended deadlines that fall beyond January 13, 2025. These companies should abide by whichever deadline falls later.

Reporting companies that are created or registered in the United States on or after January 1, 2025 have 30 days to file their initial beneficial ownership information reports with FinCEN after receiving actual or public notice that their creation or registration is effective.

As indicated in the alert titled “Notice Regarding National Small Business United v. Yellen, No. 5:22-cv-01448 (N.D. Ala.)”, Plaintiffs in National Small Business United v. Yellen, No. 5:22-cv-01448 (N.D. Ala.)—namely, Isaac Winkles, reporting companies for which Isaac Winkles is the beneficial owner or applicant, the National Small Business Association, and members of the National Small Business Association (as of March 1, 2024)—are not currently required to report their beneficial ownership information to FinCEN at this time.

On Tuesday, December 3, 2024, in the case of Texas Top Cop Shop, Inc., et al. v. Garland, et al., No. 4:24-cv-00478 (E.D. Tex.), the U.S. District Court for the Eastern District of Texas, Sherman Division, issued an order granting a nationwide preliminary injunction. On December 23, 2024, the U.S. Court of Appeals for the Fifth Circuit granted a stay of the district court’s preliminary injunction enjoining the Corporate Transparency Act (CTA) entered in the case of Texas Top Cop Shop, Inc. v. Garland, pending the outcome of the Department of the Treasury’s ongoing appeal of the district court’s order. Texas Top Cop Shop is only one of several cases that have challenged the CTA pending before courts around the country. Several district courts have denied requests to enjoin the CTA, ruling in favor of the Department of the Treasury. The government continues to believe—consistent with the conclusions of the U.S. District Courts for the Eastern District of Virginia and the District of Oregon—that the CTA is constitutional. For that reason, the Department of Justice, on behalf of the Department of the Treasury, filed a Notice of Appeal on December 5, 2024 and separately sought of stay of the injunction pending that appeal with the district court and the U.S. Court of Appeals for the Fifth Circuit.

There is still time to join us on September 16, 2024 at Boulder Pointe for our annual charity golf outing to benefit Forgotten Harvest. It will be a great event raising money for a terrific charity. Each dollar we raised the last time benefited four people. When we raised $30,000, that fed 120,000 people. So for $1,000, not even including a sponsorship, this is what you get:

• Golf for 4, including two carts
• Each golfer gets breakfast, lunch at the turn, a steak dinner and drink tickets
• Contests, prizes, and a silent auction with great items to bid on, and
• The knowledge that your $1,000 may feed 4,000 people who otherwise may need to choose between food, rent or prescriptions.

I urge everyone to read this post. This new law, the Corporate Transparency Act, became effective on January 1st this year and may impact everybody that controls or has a beneficial interest in C corporations, S corporations, limited liability companies, partnerships, or limited partnerships. If you have an interest in a family LLC that owns real estate, even if it is a simple vacation home, you have to report. If you are on the board of a homeowners association, it is possible that you have to report. If you own a small business you have to report. If you are the trustee of a trust that has an ownership interest in any of these entities, you may have to report. If these entities existed prior to January 1, 2024, you have until January 1st of next year to finally form with the government. Failure to do so will subject you to a fine of at $500 per day. If you have formed one of these entities after the first of the year, your deadline for filing this report is even shorter.

Don't get on the wrong side of the CTA. Please call your attorney soon to make sure you're in compliance. Don't wait until December, when attorneys are going to be overwhelmed with clients who want to comply before the end of the year.
